The Customer Terms governing use of Anie - the enterprise AI agent governance platform.
These Customer Terms (or, if applicable, your separately signed written agreement with us) form a binding contract between Lets Flo Limited ("we", "us", "our") and the organisation that signs up for Anie ("you", "Customer"). By accepting these terms or using the services, you confirm you have authority to bind your organisation.
These Customer Terms incorporate by reference our Privacy Policy, Data Processing Agreement, User Terms, AI Terms, and Service Level Agreement. Together these documents form "the Contract".
The "Customer" is the organisation that you represent when signing up. "Authorised Users" are the individuals the Customer allows to access Anie - typically employees, contractors, and administrators. The Customer is responsible for:
A subscription lets an Authorised User access the services. One subscription is required per user. Subscriptions are purchased through the Anie interface or a signed order form. Authorised Users must accept the User Terms before their subscription becomes active.
Subscriptions start when made available to you and run for the term specified in the order form. Block purchasing of multiple subscriptions is permitted; all subscriptions within an order end at the same time.
We may share information about our future product plans, but you should make your purchasing decisions based on features available today - not on our roadmap. We expressly disclaim liability for functionality that hasn't shipped.
From time to time we offer early access to beta or pre-release features. These are provided "as is", without the standard warranties in these terms. We welcome bug reports and feedback so we can fix issues before wider release.
The more suggestions our customers make, the better the product gets. By sharing feedback, you grant us an unlimited, irrevocable, perpetual, royalty-free licence to use it without obligation or compensation. We're not required to implement every suggestion or explain why we didn't.
Anie integrates with third-party applications (model providers, chat platforms, identity providers, CRMs, and the tools you choose to expose to agents). These third-party products are not our products and receive no warranty or support from us. Enabling them creates a separate agreement between you and the third-party provider. We aren't responsible for how third parties access or handle data routed through those integrations.
Our Privacy Policy forms part of the Contract. It describes how we collect and process personal data as a data controller. For data we process on your behalf as a data processor, the Data Processing Agreement applies.
You must comply with the Contract and are responsible for ensuring Authorised Users also comply. We're not obliged to monitor user conduct, but we may review activity for compliance. Anie is not suitable for users under 16; you must verify age. You're responsible for your own internet infrastructure and network connectivity. AI Terms apply to services that include AI functionality.
If we believe the Contract has been breached, we'll typically ask you to fix it - for example, by removing specific data or disabling a feature - rather than intervening directly. We may intervene directly if you fail to act or if there's a credible risk of harm.
You pay the fees set out in the order form. Fees exclude VAT and government taxes. You're responsible for applicable taxes and withholding obligations; if withholding is required, you must pay the gross equivalent so we receive the full invoiced amount. Subscription fees are adjusted annually by the Eurostat Harmonised Index of Consumer Prices (HICP) for Great Britain; a negative HICP means no adjustment. Other fees may be adjusted per the order form or on 3 months' written notice. You may terminate within 30 days if you reject a fee adjustment.
Payment is due within 30 days of invoice, in full and without deduction. Additional services require a separate amendment and invoice. Late payments accrue statutory interest at the highest rate allowed. Unpaid accounts may be referred to collections, and collection costs are charged to you. We may suspend service for non-payment.
Invoice disputes must be raised in writing within 7 days, with reasonable details; undisputed amounts remain payable. If a dispute isn't resolved in good faith within 20 days, either party may refer it to a mutually agreed auditor whose decision is binding, with costs split equally. If the audit confirms amounts are owed, statutory interest accrues retroactively from the original due date.
We commit to making Anie available as described in the Contract, with the uptime targets set out in the SLA. Service credits for downtime are your sole financial remedy for availability shortfalls. We use commercially reasonable efforts to keep the platform available 24/7, excluding infrequent planned maintenance. If maintenance will exceed 5 continuous minutes, we give you advance notice.
Each party complies with its obligations under applicable data protection laws. We act as data processor; you act as data controller for Customer Data. The Data Processing Agreement governs that processing.
We may take reasonable steps to prevent third-party data protection infringements. As a data controller in our own right (for example, for billing and analytics), we process personal data per our Privacy Policy. You remain solely responsible for data security, protection, and backup inside your deployment. Where our sub-processors use AI tools, they are contractually prohibited from using your personal data to train models.
You own all Customer Data and bear sole responsibility for its legality, reliability, integrity, accuracy, and quality. You grant us and our extended family (affiliates, subcontractors) a worldwide, non-exclusive, limited-term licence to access, use, process, copy, distribute, perform, export, and display that data solely to provide the services, prevent security issues, comply with law, or act on your written instructions. You warrant that you have the rights needed to grant this licence.
We (and our licensors and subcontractors) own all rights in the Anie services. You receive a non-sublicensable, non-transferable, non-exclusive limited licence to use the services for your internal business during the subscription term, subject to the User Terms. Open-source components are governed by their respective licences.
You may not access the source code, reverse engineer, modify, adapt, translate, or create derivative works. The services are for your own use and that of your Authorised Users - no resale, leasing, redistribution, or third-party access. Copyright notices must remain intact. We may use technical protection measures and monitor usage to protect our rights.
The Contract takes effect on the effective date and runs for the Initial Subscription Term. Services are available in a live environment by the start date. The Contract remains in effect until all subscriptions expire or are terminated, or the Contract itself ends. Termination of the Contract ends all subscriptions and order forms.
Unless the order form says otherwise, subscriptions auto-renew for successive one-year periods (or the same length as the preceding term, whichever is shorter) at the same subscription fee. Either party can prevent renewal by giving 30 days' written notice before the end of the current term.
Either party may terminate the Contract for material breach if the breach is not cured within 30 days of written notice. You are responsible for breaches by your Authorised Users. We may terminate immediately if the services are used in violation of applicable law.
If you terminate for our uncured material breach, we refund any prepaid fees covering the period after termination. If we terminate for your uncured material breach, all unpaid fees for the post-termination period become immediately payable. Termination doesn't relieve you of fee obligations accrued before termination. You agree not to make damaging public statements about us, our employees, agents, or contractors during or after the Contract.
Termination preserves accrued rights, including damage recovery. Provisions meant to survive termination remain enforceable.
We are custodians of Customer Data. During your subscription you may export or share certain data; specific export capabilities vary by plan and retention configuration. After expiration or termination, upon your request we will delete or return all Customer Data free of charge within 30 days, per the DPA.
You represent and warrant that you have validly entered the Contract, have the power to bind your organisation, will perform lawfully, and own the rights needed to meet your obligations. You are responsible for Authorised User conduct and compliance.
We represent and warrant that we have the right to license the services, will perform professionally with reasonable skill and care consistent with industry practice, and will meet the SLA (excluding beta products).
Disclaimer: Except for the express warranties above, the services are provided "as is" and "as available" without any further warranties, express or implied. We disclaim warranties of merchantability, title, fitness for a particular purpose, and non-infringement. We don't warrant that the services will be uninterrupted, timely, secure, or error-free, or that any specific results will be achieved. We provide no warranties in respect of third-party content or integrations.
Other than liability that cannot be excluded under applicable law, each party's aggregate liability under the Contract is capped at the fees you paid to us in the 12 months before the event giving rise to the claim. Unpaid fee obligations are excluded from this cap.
Neither party is liable for lost profits, lost revenue, business interruption, loss of goodwill, anticipated savings, substitute goods or services, wasted management time, or indirect or consequential damages.
We aren't liable for damages that could have been prevented by enabling two-factor authentication if it wasn't used, or for damages caused by inadequately protected login credentials. These limits apply under all legal theories. Both parties relied on these limitations when agreeing fees and entering the Contract. You are responsible for Authorised User breaches as if they were your own acts.
We defend you against third-party claims that the services infringe intellectual property rights, and pay reasonable legal fees and damages awarded. We have no obligation for claims arising from Customer Data, third-party integrations, or modifications or combinations you make. You must promptly notify us, let us control the defence, and cooperate reasonably. This is your sole remedy for IP claims.
You defend us, our affiliates, and our extended family against third-party claims arising from your or your Authorised Users' breach of the Contract or User Terms, and pay reasonable legal fees and damages awarded. We must promptly notify you, let you control the defence, and cooperate reasonably. This is our sole remedy for those breach claims.
Each party may share confidential information (the "Disclosing Party"). Confidential Information includes order forms, business and financial data, technology, IP, software, and marketing information - anything reasonably understood to be confidential, whether or not explicitly labelled. Customer Data is confidential. Exceptions: information that is public, already known, lawfully received from a third party without restriction, or independently developed.
The Receiving Party will take at least reasonable measures to prevent unauthorised disclosure and limit access to people who need it for the Contract. The Receiving Party will not use Confidential Information outside the scope of the Contract. Financial and legal advisors may receive Confidential Information provided they are bound by equivalent confidentiality obligations.
The Receiving Party may disclose Confidential Information if legally compelled, provided it gives prior notice where permitted and reasonable assistance if the Disclosing Party wants to challenge the request. We follow our Data Request Policy in those cases.
You grant us the right to use your company name and logo for marketing and promotional purposes on our website and in our communications, subject to your standard trademark guidelines. You may opt out by emailing hello@anie.io.
Neither party is liable for performance failures caused by events beyond reasonable control - acts of God, natural disasters, war, epidemics, power shortages, transportation failures, or government acts.
The parties are independent contractors. Nothing in the Contract creates a partnership, franchise, joint venture, agency, fiduciary, or employment relationship. No third-party beneficiaries are intended; the Contract is not enforceable by third parties under the Contracts (Rights of Third Parties) Act 1999 or similar legislation.
Unless stated otherwise, all notices must be in writing and delivered by email (treated as written) or through the services. Send general notices to hello@anie.io, and legal or termination notices to legal@anie.io. Email notices take effect the next business day; in-service notices take effect the same day.
As our business evolves, we may change these Customer Terms and the documents they incorporate (except order forms). Material changes will be notified with reasonable prior notice, by email or in-service notification. The current version is always available on our website. Changes take effect on the stated date; other changes take effect when posted. Your continued use of the services after the effective date is your acceptance of the changes.
No failure or delay in exercising a right counts as a waiver. Waivers are effective only if in writing and signed by an authorised representative. If a court finds any provision unlawful, the court will modify it to achieve its original intent to the fullest lawful extent; the rest of the Contract remains enforceable.
Neither party may assign the Contract without the other's written consent (not to be unreasonably withheld), except that either party may assign to an affiliate or in the context of a merger, acquisition, reorganisation, or asset sale without consent. You must keep your billing and contact information current. Unauthorised assignment is void. The non-assigning party may terminate the Contract for a breach of this section.
The Contract, and any disputes arising out of or relating to it, are governed by the laws of England and Wales, with exclusive jurisdiction of the English courts. The prevailing party recovers reasonable costs and legal fees.
Each party complies with US and foreign export control laws. The services are not for use in embargoed countries or by designated persons. You will not transfer, export, or re-export the services to any sanctioned country, person, or entity listed by the US Treasury or Commerce Department.
The Contract - these Customer Terms, the User Terms, the order form, and the documents they incorporate - constitutes the entire agreement between the parties and supersedes all prior proposals, agreements, and representations on the subject. Prior online-accepted agreements are superseded. In case of conflict, the order of precedence is: (1) Order Form, (2) AI Terms, (3) Customer Terms, (4) Data Processing Agreement, (5) Privacy Policy, (6) User Terms, (7) any other referenced documents. Purchase orders, vendor onboarding processes, or other documentation you issue are excluded and have no effect.
